PUBLIC OFFER (SALES AGREEMENT)

This document is an official public offer (hereinafter referred to as the “Offer”) of
Sole Proprietor (FOP) Yuliia Kostyantynivna Bakhina
(hereinafter referred to as the “Seller”) to enter into a distance sales agreement (hereinafter referred to as the “Agreement”) with any individual or legal entity (hereinafter referred to as the “Buyer”) via the online store available at https://www.mycoria.com.ua (hereinafter referred to as the “Website”).

1. General Provisions

1.1. This Offer is an official proposal by the Seller to enter into a sales agreement under the terms described below.
1.2. Full and unconditional acceptance of this Offer (the “Acceptance”) shall be deemed the act of placing and confirming an order on the Seller’s Website.
1.3. By accepting this Offer, the Buyer confirms that they have fully read, understood, and agreed to its terms, and, if the Buyer is an individual, they consent to the processing of their personal data for the purpose of fulfilling this Agreement.

2. Definitions

2.1. Website – the online platform located at https://www.mycoria.com.ua, including all its web pages.
2.2. Goods – mushroom mycelium, substrates, mushroom growing blocks, and other products offered for sale on the Website.
2.3. Buyer – a legally capable individual or legal entity who accepts the terms of this Offer and intends to order or purchase the Goods on the Website.
2.4. Seller – Sole Proprietor (FOP) Yuliia Kostyantynivna Bakhina, who sells the Goods presented on the Website.
2.5. Order – a properly completed request by the Buyer for the purchase and delivery of Goods selected on the Website.

3. Subject of the Agreement

3.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.

4. Price and Payment Procedure

4.1. Prices for Goods are indicated on the Website in the national currency of Ukraine (UAH) per unit.
4.2. The Seller may change prices unilaterally. However, the price of Goods already ordered by the Buyer shall not be changed.
4.3. Payment for the Goods is made by the Buyer using:

  • Non-cash payment via the LiqPay payment service (Visa/Mastercard);

  • Cash on delivery (COD) when receiving the Order at the delivery service office.
    4.4. The Buyer’s payment obligations are considered fulfilled once funds are credited to the Seller’s account.

5. Order Placement and Delivery

5.1. The Buyer places an Order independently on the Website using the “Cart” form.
5.2. To complete an Order, the Buyer must provide accurate personal information: full name, phone number, email address, and delivery address.
5.3. Delivery is carried out across Ukraine via delivery services (e.g., Nova Poshta, Ukrposhta). The Buyer pays for delivery according to the courier service’s tariffs.
5.4. The Seller undertakes to ship the Goods within 1–5 business days after order confirmation.
5.5. Ownership and risk of accidental loss or damage to the Goods pass to the Buyer upon transfer of the Goods to the delivery service.

6. Return and Exchange Policy

6.1. Returns and exchanges of Goods are carried out in accordance with the current legislation of Ukraine, including the Law of Ukraine “On Consumer Protection.”
6.2. Return of Goods of proper quality:
According to the Resolution of the Cabinet of Ministers of Ukraine No. 172 of March 19, 1994, food products of proper quality are not subject to exchange or return. Since mushroom mycelium and growing blocks are perishable products with specific storage requirements, Goods of proper quality purchased on the Website cannot be returned or exchanged.
6.3. Return of defective Goods:
In case of significant defects caused by the Seller (e.g., damaged packaging affecting quality, product mismatch), the Buyer has the right to request:

  • replacement of the product with a similar one of proper quality; or

  • a refund of the purchase price.
    To do so, the Buyer must contact the Seller within 24 hours of receiving the Goods and provide photo or video proof of the defect.

7. Liability of the Parties

7.1. The Parties are liable for failure to fulfill or improper fulfillment of the Agreement under current legislation.
7.2. The Seller is not responsible for the final result of mushroom cultivation, as it depends on the Buyer’s adherence to growing conditions, storage, and external factors.
7.3. The Parties are released from liability for non-performance if caused by force majeure circumstances (acts of war, natural disasters, etc.).

8. Confidentiality and Personal Data Protection

8.1. By providing personal data when registering or placing an Order on the Website, the Buyer voluntarily consents to their processing and use by the Seller in accordance with the Law of Ukraine “On Personal Data Protection.”
8.2. The Seller undertakes not to disclose the Buyer’s personal information to third parties except as required by law.

9. Duration of the Agreement

9.1. This Agreement comes into force from the moment the Buyer accepts the Offer and remains valid until full fulfillment of the Parties’ obligations.
9.2. The Seller may modify this Offer without prior notice to the Buyer. Changes take effect from the moment of publication on the Website.
